Capital structure

The shareholders of Krajowy Depozyt Papierów Wartościowych are in equal parts: the Treasury of Poland, the Warsaw Stock Exchange (GPW), and the National Bank of Poland (NBP).

The Treasury holds one-third of the shares in KDPW equivalent to 51.76% of the total vote. The Warsaw Stock Exchange exercises control over KDPW within the meaning of Article 2(1)(21) CSDR.

The share capital of KDPW amounts to PLN 21 million (twenty-one million zloty) and is divided into 21,000 shares with a nominal value of PLN 1,000 (one thousand zloty) each. The Company’s shares are registered shares only. KDPW shares may only be acquired by companies operating a stock exchange, brokerage houses, companies operating an over-the-counter market, the Treasury of Poland, the National Bank of Poland, and banks. The transfer of ownership of KDPW shares requires written authorisation from the KDPW Supervisory Board.

Advisory Group and User Committee

The Advisory Group issues opinions on matters concerning the KDPW Management Board’s reports on the activity of the company, KDPW’s business plans and financial plans, reports on the operation of the compensation scheme, rules and other regulations issued by KDPW on the basis of such rules. In accordance with the CSDR, a User Committee has been established within the Advisory Group.

Court of Arbitration

Civil law disputes concerning property rights between KDPW and KDPW participants and those between KDPW participants which relate to the scope of the Company’s operations are resolved by the KDPW Court of Arbitration.

The Court of Arbitration consists of 10 arbitrators elected by the General Meeting for a term of three years. The mandate of arbitrators of the Court of Arbitration ends at the time of an Annual General Meeting. The Court of Arbitration passes decisions as a bench of three arbitrators. Each of the parties may appoint one arbitrator. There are no appeals against decisions of the Court of Arbitration.
